FTN is not a company. It is a closed-end split share corporation managed by Quadravest Capital Management. It holds a portfolio of large Canadian and US financial services shares and slices the economics into two securities: a Preferred share (FTN.PR.A) with a fixed claim, and a Class A share (FTN) that takes everything left over. There is no revenue, no operating margin, no reinvestment runway, no moat, and no management team creating value through operations. Yahoo Finance’s trailing PE of 2.34 for FTN is an artifact of mark-to-market portfolio gains flowing through the income statement. It carries no information. PEG is undefined because there is no earnings growth rate to speak of.
What can be valued, and valued reasonably well, is the structure itself. That is what follows: a net asset value analysis, a leverage decomposition, and a forward return model built from the actual cash mechanics. This is a more useful answer than a fabricated DCF, and it is the only one the evidence supports.
Financial 15 Split Corp holds an actively managed portfolio of roughly 15 large North American financial services companies, including all six Canadian banks, Manulife, Sun Life, Great-West Lifeco, Bank of America, Citigroup, Goldman Sachs, JP Morgan and Wells Fargo, with covered call writing layered on top. The corporation funds itself with two share classes. Preferred shareholders receive 7.25% annually on a 10 dollar face value and are repaid 10 dollars at the termination date of 1 December 2030, subject to further five year extensions. Class A shareholders receive a monthly distribution and own the entire residual net asset value above 10 dollars per unit.

The medium rating reflects a genuine split. The net asset value figure is published by the manager and is about as clean an input as one gets. The forward return model, however, depends entirely on an assumed long-run total return for North American financials, and that assumption drives everything.

Structure Understanding
The mechanics are worth stating precisely because everything else follows from them.
Each unit consists of one Preferred share and one Class A share, backed by 23.62 of portfolio assets. The Preferred has first claim on 10.00 of that, leaving 13.62 for the Class A. This means the Class A share is a leveraged claim: 23.62 of assets supporting 13.62 of equity, or 1.73x leverage. A 10% move in the underlying financials portfolio produces a 17.3% move in Class A net asset value.
The corporation must pay out 2.2334 per unit each year, being 1.5084 to the Class A and 0.7250 to the Preferred. Against a net asset value per unit of 23.62, that is 9.46% of assets distributed annually. Add roughly 1.2% in fees and the portfolio must generate a total return of about 10.7% every year simply to hold net asset value flat.
That is the entire investment case in one number. North American bank and insurer shares have historically returned somewhere in the region of 8% to 10% annually over long periods, including dividends. The required rate sits at the top of that range or above it. Net asset value erosion is therefore the mathematical base case, not a tail risk.
Evidence From History
The company’s own disclosure makes this concrete. Class A shareholders have received 29.08 per share in cumulative distributions since the November 2003 inception. The Class A shares were issued at 15.00 as part of a 25.00 unit. Today the Class A net asset value is 13.62, and adjusting for the September 2025 share split of ten additional shares per hundred held, the original holder’s stake is worth roughly 14.98 per original share.
So after nearly 23 years, the capital value of a Class A share is approximately flat in nominal terms and materially down in real terms. Every dollar of return has come from distributions. A rough internal rate of return on that cash flow stream lands near 8% to 8.5%, which is a reasonable outcome but an unremarkable one given the leverage and the volatility endured to get it. An unleveraged position in the same fifteen companies would have done at least as well with far less drama.
Financial Strength and Coverage
Asset coverage for the Preferred is 2.36x, which is comfortable and consistent with the Pfd-3 rating from DBRS in January 2026. The Preferred is the safer instrument in this structure by a wide margin, and an investor drawn to FTN for income should ask seriously whether FTN.PR.A at roughly 7.25% is the better risk-adjusted holding.
For the Class A, the relevant test is the distribution threshold. Under the fund’s terms, Class A distributions are suspended if net asset value per unit falls below 15.00. At 23.62 today, the portfolio can fall about 36.5% before that trigger is hit. That is a real cushion, though not an extraordinary one for a sector that fell far more than that in 2008 and 2020.
Capital Allocation and the Accretion Mechanism
There is one genuinely value-creating feature here, and it deserves credit.
Quadravest periodically issues Preferred shares alone through overnight offerings. In June 2026 the company placed 107.8 million dollars of Preferred at 10.78 per share, above the 10.00 the corporation is obliged to repay at termination. Every preferred share issued at a premium to 10.00 transfers that premium to the Class A residual. This is accretive, and it is repeated regularly. The company also renewed a 400 million dollar at-the-market equity programme in January 2026.
The offsetting concern is that these issuances increase assets under management, and management fees scale with assets. The interests of manager and Class A holder overlap here but are not identical. The September 2025 Class A share split, which handed shareholders ten extra shares per hundred and increased aggregate distributions by 10%, was presented as a reward for strong performance. In substance it converted net asset value into a larger share count with a larger total payout obligation, which accelerates the erosion arithmetic described above.
Margin of Safety
The 16.2% discount to Class A net asset value is real and is the strongest single argument for the position. Buying a portfolio of large North American banks at 84 cents on the dollar, with a levered claim, is not a bad starting point.
The problem is durability. At a base case erosion rate of roughly 4.6% per year, the discount is consumed in about three and a half years. It is a one-time benefit, not a compounding one. It improves the entry price and adds roughly two percentage points to the annualised return through the higher effective yield on capital deployed. It does not change the underlying economics.
Mispricing Thesis
Why does a 16% discount exist? Three plausible explanations, none verified:
- Retail flow has cooled. FTN historically traded at or above net asset value because yield-focused retail buyers bid it up. Sentiment shifts.
- Investors have grown more aware of the erosion mechanics, and the September 2025 split may have sharpened that awareness.
- The 14 August net asset value predates the price quoted here. If financials have drifted lower in late August, the true discount is narrower than 16.2%.
That last possibility matters. Verify the current net asset value on Quadravest’s site before acting on the discount figure.
Red Flag Scan
- Payout exceeds portfolio income: confirmed, by roughly four to five percentage points of net asset value annually. This is the central flag.
- Distribution history is not continuous: Class A distributions have been suspended in past stress periods. Treat the yield as conditional, not fixed.
- Share count rising: yes, through both the Class A split and continuous at-the-market issuance.
- Accounting complexity: moderate. The reported PE and profit margin figures on aggregator sites are misleading enough to trap the unwary.
- Concentration: a single sector, in two countries, with heavy exposure to interest rate and credit cycles.
- Fees on a structure the investor could partially replicate with a bank ETF and margin: worth weighing.
Disconfirming Evidence: The Bear Case
If I were short FTN Class A, my argument would run as follows.
The security has a mathematical headwind of roughly 4.6 percentage points per year at a normal 8% portfolio return. That is not a market view, it is arithmetic derived from the fund’s own payout schedule. Over sixteen years, compounding at negative 4.6%, Class A net asset value falls from 13.62 to about 6.40. Long before that, Quadravest would cut the Class A distribution, because the payout is set as a function of net asset value rather than being a fixed obligation. The 13.22% yield an investor thinks they are buying is not a sixteen year yield. It is this year’s yield.
Second, the leverage is asymmetric against the holder in the way that matters. A 25% decline in financials takes Class A net asset value from 13.62 to roughly 5.20 and pushes net asset value per unit to near 15.00, at which point the distribution stops. The investor loses 60% of capital and the income simultaneously, precisely when they need it. Recovery then requires the portfolio to climb back while still funding the preferred coupon out of a shrunken base.
Third, the termination date is 1 December 2030. Extensions have been granted before and will likely be granted again, but a sixteen year holding period assumes at least three further extensions from a manager under no obligation to grant them.
Fourth, the discount can widen. There is no mechanism forcing convergence.
Where I land: the bear case is strong on structure but does not quite defeat the position at this price. The reason is the discount. At 11.41 against a 13.62 Class A net asset value, the buyer is being paid to accept the erosion. The forward return math, worked through below, lands at roughly 8.6% annually under the base case, which is close to the 9% hurdle. That is a fair deal, not a good one. It would be an unambiguously poor deal at net asset value, and a clearly bad one at a premium, which is where this security has often traded.

Class A total return decomposes cleanly. With L as leverage of 1.734x, r as the portfolio total return, MER of 1.2%, and a preferred cost of 5.32% expressed against Class A net asset value:

Investor return assumes the percentage discount to net asset value persists. If the discount closes fully over sixteen years, add approximately 1.1 percentage points to each figure.
Bear scenario: a recession compresses net interest margins and raises credit losses. Portfolio returns 4% annually. Class A net asset value erodes 11.5% per year, the distribution is cut within two to three years, and the investor earns low single digits at best. Entry condition: this is roughly what a buyer at net asset value in a late cycle environment should expect. Exit condition: a distribution cut is the signal.
Base scenario: financials return 8% annually, consistent with long-run history. Class A net asset value declines about 4.6% per year, offset by a 13.2% cash yield. Total return approximately 8.6%, or 9.7% if the discount closes. Exit condition: price recovering to net asset value.
Bull scenario: a sustained steep yield curve and benign credit cycle drive 12% portfolio returns. Class A net asset value grows modestly, the distribution is maintained or raised, and the discount flips to a premium. Total return 15% or more. Exit condition: a premium to net asset value, which historically has been the moment to sell.

Note the shape. Shorter horizons permit a higher price because the one-time discount closure is spread over fewer years. Longer horizons are penalized because the erosion compounds. If the discount never closes and the current 16.2% gap persists, the 9% price for any horizon falls to approximately 11.09.
At 11.41, the stock sits fractionally above the sixteen year 9% threshold of 11.39. It essentially meets the hurdle with no margin of safety whatsoever.
Sell Discipline
Thesis triggers, which matter more than price:
- Any reduction in the Class A monthly distribution. This is the clearest evidence that the erosion arithmetic has caught up, and it usually arrives with the price already falling.
- Net asset value per unit approaching 17.00, which is close enough to the 15.00 suspension threshold that a further 12% portfolio decline stops the income.
- Quadravest failing to extend the termination date beyond 1 December 2030, or extending on materially worse terms.
- A further Class A share split. Each one raises the aggregate payout obligation and accelerates erosion, whatever the press release says.
- A shift in the preferred rate toward the 6.00% minimum, indicating the board sees pressure on coverage.
Valuation trigger:
- A move to a premium over Class A net asset value, currently 13.62. Historically, premiums on this security have marked poor entry points and reasonable exits. A price above roughly 14.00 with net asset value unchanged would be a strong candidate for trimming, because at that level the forward return drops to the 5% to 6% range under the base case.

Opportunity Score: 4.00 out of 10. The score is carried almost entirely by valuation asymmetry and catalysts. Strip out the discount and the opportunity score falls to roughly 2.6, which is the honest assessment of the structure at fair value.
Classification
The structure is declining by construction. Net asset value per Class A share trends downward across a normal cycle and is sustained only by distributions and periodic accretive preferred issuance.
Peter Lynch would not classify this as a stock at all. Forced to choose, it is a cyclical wearing income clothing. The distribution creates the appearance of a stalwart while the underlying claim behaves like a high-beta bet on the financial cycle. Lynch’s warning about the seduction of yield applies squarely.
Charlie Munger would file it under too hard, and then, having thought about it for another thirty seconds, would move it to the pile marked no. The structure charges a fee to convert a good business into a worse one, transfers most of the upside to a preferred holder, and hands the retail buyer a levered residual with a headline yield. Munger’s objection would not be that the math fails. It is that the whole exercise exists to make something simple look attractive.
Summary and Verdict
At 11.41, FTN Class A trades at a 16.2% discount to an estimated Class A net asset value of 13.62 and yields 13.22%. The discount is genuine and is the reason the position works at all.
Underneath it sits a structure that must earn about 10.7% annually on its portfolio just to keep net asset value flat, against a realistic long-run expectation of roughly 8% for North American financials. The gap of four to five percentage points per year is paid out of capital. Nearly twenty-three years of history confirm the pattern: cumulative distributions of 29.08 per share against a Class A net asset value that has gone essentially nowhere in nominal terms.
Verdict: hold, do not add.
Target price range: 13.00 to 14.00 as a trimming zone, being the point at which the discount has closed and forward returns fall to the 5% to 7% range. Accumulation range below 11.00, and preferably below 10.50, which would restore a genuine margin of safety.
Does it meet the 9% over 16 years goal at 11.41? Marginally, and only under the base case. The calculated sixteen year 9% price is 11.39, which the current price of 11.41 fractionally exceeds. Any adverse move in the assumptions, a 7% portfolio return instead of 8%, a 1.5% management expense ratio, a persistent discount that never closes, pushes the outcome below the hurdle. The honest reading is that the stock clears the bar by a rounding error, which is another way of saying it does not clear it at all in any way an investor should rely on.
